Martin Šubrt focuses on banking and financial law, and providing comprehensive legal advice in all areas of corporate law, with a special focus on M&A. He also covers dispute resolution areas, especially arbitration.
Before joining ROWAN LEGAL, Martin worked for several of the world’s major institutions such as ABN AMRO BANK, and THE ROYAL BANK OF SCOTLAND in London. He also earned an LL.M. degree in the “Legal Aspects of International Finance and Financial Regulation” at University College, London. In his foreign practice he was devoted to projects in particular in the areas of syndicated financing, securitization, derivatives and financial regulation of the financial markets. At ROWAN LEGAL he focuses especially on the regulation of financial bodies and the setting-up of contractual terms between financial services providers and customers.
Martin provides legal services in all areas of corporate law, in particular in relation to M&A. He provides support to clients during the whole acquisition process with a focus on acquisition financing and new models in this field. He also provides advice regarding the establishment of contractual terms within corporations, and also within complex corporate transactions.
In litigation, he has represented clients in a number of arbitrations, both local and international. He has participated in the defense during two international investment arbitrations for damages worth hundreds of millions of euro. He often represents Czech financial and banking institutions in local arbitration.

EUREKO (ACHMEA) B.V. v THE SLOVAK REPUBLIC: Represented Slovakia in international investment arbitration under the UNCITRAL rules, concerning alleged violations of the rights of the investor due to changes in legislation concerning health insurance involving SKK 5.1 billion.
HICEE B.V v THE SLOVAK REPUBLIC: Represented Slovakia in international investment arbitration under the UNCITRAL rules, in the case of alleged violations of the rights of the investor due to changes in legislation concerning health insurance involving EUR 750 million.
THE SLOVAK REPUBLIC and EU COMMISSION: Represented Slovakia before the European Commission regarding infringement of EU law (infringement proceedings) due to the implementation of new legislation in the health insurance area.
Represented Russian companies in arbitration proceedings with a Czech bank regarding a payment in the order of tens of millions of euro based on cross-border project financing in Russia.
ROYAL BANK OF SCOTLAND PLC: Represented the bank in a case of CZK 50 million on the basis of a loan provided.
Represented a leading Czech bank in arbitration in relation to action in a case involving CZK 400 mil.
THE ROYAL BANK OF SCOTLAND PLC: Provided legal services regarding the transfer of part of the undertakings of THE ROYAL BANK OF SCOTLAND NV, an international bank branch of RBS II B.V. and a subsequent merger with THE ROYAL BANK OF SCOTLAND PLC. Rowan Legal judicially secured the transaction from a Czech and Slovak law perspective in relation to the transfer of part of the undertaking, inter alia, by the Czech and Slovak branch of THE ROYAL BANK OF SCOTLAND N.V. to RBS II B.V. and then the immediate transition to THE ROYAL BANK OF SCOTLAND PLC through a merger. The transaction included a large number of different legal systems, in particular Dutch law, English law, the law of the State of New York and other jurisdictions. Rowan Legal judged the legal aspects of the transfer of the assets of the Czech and Slovak branch in the context of “equity” under English law and as to the legal consequences of the transfer of asset management, and Czech and Slovak law transactions which are subject to Dutch or English law. The transaction was audited by both British and Dutch financial market regulators (FSA and DBN) and local regulators.
ABN AMRO Bank N.V.: Prepared all loan documentation, including documentation of the hedge in the refinancing of the acquisition of a loan of CZK 970 million for the purchase of companies operating in the petrochemical industry (a leveraged buyout).
IMMOFINANZ GROUP: Refinanced a loan of EUR 50 million in relation to a real estate project in the Czech Republic including preparation of the hedge documentation.
DOLLAR FINANCIAL Czech Republic, Ltd.: Provided comprehensive legal advice to the company (listed on the NASDAQ Stock Exchange), in starting consumer loans off in the Czech Republic. This included the establishment of the company, obtaining permission to provide consumer credit, preparation of a framework loan contract and business terms and conditions in accordance with the rules of protection of personal data, and advice on the regulation of consumer credit.
ROYAL BANK OF SCOTLAND PLC: Prepared contractual documentation (in particular a framework contract for the assignment of receivables), including regulatory aspects under Czech and Slovak law, on the basis of which the Bank purchased suppliers receivables of the world’s leading Brewing Company totaling EUR 40 million.
ROYAL BANK OF SCOTLAND PLC: Represented the bank in insolvency proceedings in relation to the claims of bank guarantees amounting to CZK 120 million.
Intrum Justitia Debt Finance AG: Provided comprehensive legal services in the cross-border acquisition of a portfolio of receivables in the order of tens of millions of euro, in particular the legal analysis of certain aspects of this acquisition, ensuring compliance with regulatory requirements, and the negotiation of a purchase contract.
Nanotherapeutics Inc.: Provided comprehensive legal advice on the acquisition of Baxter Group companies including both corporate and contractual aspects of transactions and regulation in the pharmaceutical industry and its subsequent sale to Indian investors.
Intrum Justittia AB (publ): Acquisition of a 100% share in Profidebt, Ltd. Provided comprehensive legal advice in relation to the acquisition of a leading company in the field of trade receivables in the Czech Republic where the value of the transaction was EUR 37 million.
