Michaela Jiříková focuses her practice primarily on corporate law, mergers and acquisitions and transaction advisory.
Michaela has experience in providing legal services to Czech and foreign clients, mainly from the private sector, as well as to Czech and foreign investors. In the area of acquisitions and divestitures, she has been involved in a number of transactions in recent years, both on the sellers’ and buyers’ side, mainly in the financial, manufacturing, construction and energy industries. Michaela also advises on financial market regulation, particularly in relation to financial and credit institutions, including drafting and reviewing internal regulations and systems in accordance with the relevant regulations and representing clients before the Czech National Bank or the Financial Arbitrator. Michaela also has experience in competition law, where she has advised and represented clients in proceedings and disputes related to alleged abuse of dominance and unfair competition, and in civil and commercial law proceedings, including arbitration proceedings.
Prior to joining ROWAN LEGAL, Michaela worked at BBH for almost five years, but she has also gained experience in other settings and in firms of various sizes.
Michaela graduated from the Faculty of Law of Charles University in Prague and completed a one-year study stay at the Faculty of Law of the University of Antwerp (Belgium).

Advising a Czech joint venture on the acquisition of a traditional Czech manufacturing company, including negotiating the terms of the financing of the transaction and the subsequent implementation of the company’s own corporate governance & compliance.
Advising on the restructuring of a company and formation of a holding company operating in the field of trading and processing of investment precious metals, including setting up shareholder relations.
Advising on the establishment of a successor joint stock company in the context of a composition procedure (asset cleansing and creditor satisfaction).
Advising clients on various corporate transformations (domestic mergers, spin-offs, cross-border relocation of headquarters).
Advising clients on corporate matters of all kinds, corporate governance and compliance (incorporation of companies, formation of holding companies and joint ventures, setting up shareholder relations, implementation of corporate governance, as well as the review of the above).
Advising clients on contractual matters (drafting model contracts, reviewing existing contractual statuses, representing clients in the negotiation of new and renegotiation of existing relationships).
